These Terms of Service (the “Terms”) govern access to and use of the Athens web application, related course workspaces, and associated services (together, the “Service”) provided by Athens AI Technologies Inc. (“Athens,” “we,” “us,” or “our”).

By accessing or using the Service, you agree to these Terms and acknowledge the Athens Privacy Notice. If you do not agree, do not use the Service.

The Athens Security Statement accompanies these Terms as informational description. Except for the security-research permission in Section 6, which refers to it for procedure, it is not incorporated into these Terms and is not a representation, warranty, or contractual commitment.

1. The Service is a limited, evolving pilot

Athens is offered as a limited, instructor-led pilot. It is an early-stage product under active development. It is not a finished product, not generally available, and not guaranteed to continue.

You should expect that features will change or be removed, that the Service may be unavailable or interrupted, that data or output may be incomplete or wrong, and that the pilot may end. Athens may add, modify, limit, suspend, or discontinue any part of the Service at any time. Athens will make reasonable efforts to avoid disrupting an active course mid-term and to give notice of significant planned changes where practicable, but does not commit to a service level, an uptime target, or a support response time.

Do not use the Service as a system of record. Keep your own copies of anything you need, including course materials, grades, and student work.

2. Participation does not mean your institution approved this

An individual instructor (a “Instructor”) can create a course in Athens and invite students (each a “Student”). Instructors and Students are “Users.” A school, district, college, university, or other educational organization is an “Institution.”

An Instructor's or Student's use of the Service does not by itself establish that any Institution has authorized, sponsored, endorsed, contracted for, or reviewed the Service. Athens makes no such representation, and no User should infer institutional authorization from the existence of a course, an invitation, an email domain, or an Institution's name appearing anywhere in the Service.

Where an Institution has entered into a separate written agreement with Athens (an “Institution Agreement”), that agreement governs for that Institution and its Users to the extent of any conflict with these Terms. Nothing in these Terms assumes that such an agreement exists, and neither party may rely on one that does not.

You are responsible for complying with your own Institution's policies on third-party tools, student data, instructional materials, and academic integrity. Athens cannot assess those policies for you and does not do so.

3. Eligibility and accounts

You may use the Service only if you are at least 13 years old, can legally agree to these Terms or have the agreement of a parent, guardian, or Institution as applicable, and have been invited or authorized to use the Service. Children under 13 may not use the Service, and their information may not be entered into it; Athens has not implemented a verified school or parental consent process, so under-13 use is prohibited rather than conditionally permitted.

Secondary-school pilots require prior coordination. If a course is offered through a K–12 school or district, the Instructor must contact Athens at admin@athenslabs.ai and receive written confirmation before entering Student information, importing a roster, sending invitations, or uploading course Appropriate school or district authorization is required for every K–12 pilot. Athens may additionally require a school-appropriate pilot agreement or data-protection addendum depending on applicable law, district policy, and the pilot's data scope. An individual Instructor's acceptance of these Terms, and any written confirmation from Athens, do not replace the school's or district's own authorization.

Keep your account information accurate, keep your credentials and invitation links confidential, and do not share accounts. Tell Athens at admin@athenslabs.ai promptly if you suspect unauthorized access. You are responsible for activity through your account to the extent permitted by law. Do not misrepresent your identity, role, affiliation, or authority.

4. Instructor responsibilities

Athens depends on Instructors to bring their own courses, rosters, and materials. If you use the Service as an Instructor, you represent and agree to each of the following, and you accept that Athens relies on these representations and does not independently verify them.

4.1 Authority over student information

When you enter a Student's email address, name, role, or course association into Athens, whether individually or by roster import, you represent that:

• you are permitted to provide that information to Athens for this purpose, under your Institution's policies and applicable law;
• you have any notice, consent, or approval that your Institution or the law requires before sharing student contact information with a third-party tool; and
• you will promptly ask Athens to remove, or remove yourself, information about a person who should no longer be in your course or who objects; and
• if your course is offered through a K–12 school or district, you have contacted Athens and received written confirmation before entering Student information, as Section 3 requires, and you are not entering information about any child under 13.

These are representations about your own authority and your own institution's policies. They do not make you responsible for Athens' legal obligations. Athens remains responsible for the obligations that apply to Athens, and where a school authorizes Athens to handle student information, Athens is responsible for handling it within the school-authorized educational purpose.

Athens stores a Student's information from the moment you enter it, before that Student accepts anything. Depending on the path you use, this may go further: adding a Student by direct roster entry or roster import can immediately create an Athens user record and a course enrolment for that Student. An invitation does not do that, but it does not defer everything to acceptance either: setting a password creates or updates the Student's sign-in identity before they sign in and before the invitation is accepted, and the course enrolment is created only on authenticated acceptance. Section 2 of the Privacy Notice explains both paths to Students. Do not enter information about a person you are not permitted to enter.

4.2 Authority over uploaded materials

When you upload course materials, you represent that:

• you own the material or are otherwise permitted to upload and use it in this way, including under copyright, licensing, and your Institution's policies;
• uploading it to Athens and having Athens process it as described in the Privacy Notice does not violate anyone's rights; and
• you have considered whether the material contains other people's personal information and are permitted to include it.

Athens does not review uploads to determine what they contain or whether you have the rights to them.

4.3 Your own conduct toward students

You remain responsible for how you use the Service in your course, including what you tell Students about it, how you treat Students who decline to use it, and any academic consequences you attach to it. Athens does not require any Student to use the Service.

5. Acceptable use

You may not, and may not help another person to:

• use the Service unlawfully, fraudulently, or deceptively;
• access or attempt to access another person's account, private workspace, course, organization, or data without authorization;
• share credentials, invitation links, or access tokens with people who are not entitled to them;
• bypass or defeat access controls, rate limits, usage budgets, safety controls, or content-visibility rules, except as Section 6 expressly permits;
• disrupt, overload, damage, or interfere with the Service or its security, integrity, or availability, except as Section 6 expressly permits;
• upload malware, unlawful content, or material you do not have the right to use;
• scrape the Service or extract content or data by automated means, except through an interface Athens provides for that purpose;
• reverse engineer or attempt to derive non-public source code or models, except to the extent applicable law does not permit this restriction;
• use the Service to cheat, impersonate another person, fabricate evidence, or violate academic-integrity rules; or
• use AI output as the sole basis for a high-impact decision about a person, including a legal, medical, financial, safety-critical, admissions, grading, disciplinary, or employment decision.

6. Good faith security research

Section 5 does not prohibit good faith security research conducted in accordance with the “Reporting a security problem” section of the Athens Security Statement.

If you follow that section, Athens will not treat your research as a breach of these Terms and will not pursue action against you under these Terms for it. To stay within this permission you must act in good faith, avoid privacy violations, avoid degrading or disrupting the Service for others, avoid accessing, modifying, retaining, or exfiltrating any data that is not your own beyond what is necessary to demonstrate the issue, report the issue promptly to admin@athenslabs.ai, and give Athens a reasonable opportunity to respond before disclosing it publicly.

This permission is limited to Athens. It cannot and does not waive the rights of any third party, including Athens' hosting and infrastructure providers, whose own terms continue to apply to you.

7. Content and rights

“Your Content” means what you submit to the Service. For an Instructor this includes uploaded course materials, course settings, and roster information. For a Student this includes messages, questions, notes, notebook pages, uploads, and other work.

You keep your rights. As between you and Athens, you retain ownership of Your Content. These Terms do not transfer ownership of Your Content to Athens.

The license Athens needs. You grant Athens a non-exclusive, worldwide, royalty-free license to host, store, copy, transmit, display, index, extract text from, and otherwise process Your Content solely to operate, secure, maintain, troubleshoot, and support the Service for you and the course you submitted it to, and to comply with law. This license is limited to running the Service. It ends when Your Content is deleted, except for copies retained in backups until they expire and copies Athens must keep for legal reasons.

Athens does not train models on Your Content. Athens does not use Your Content to train or fine-tune AI models, and configures its approved AI providers so that content sent for a request is not used by them for training.

Student content and instructor access. A Student's private workspace content is not visible to their Instructor by default, as described in Section 6 of the Privacy Notice. Uploading course materials does not give an Instructor rights in a Student's work.

AI output. Subject to these Terms and to the rights of others, Athens does not claim ownership of output generated for you through the Service. Output may not be unique, similar output may be generated for others, and output may incorporate or reflect the course material it was grounded in. You are responsible for how you use it.

Feedback. If you send Athens suggestions or feedback, Athens may use it without restriction or compensation, and will not publicly identify you as the source without permission.

Do not upload highly sensitive information. Do not submit government identifiers, financial account numbers, medical records, credentials, or similar highly sensitive information to the Service.

8. AI features are experimental

The Service generates explanations, summaries, answers, study materials, citations, and other output using artificial intelligence (“AI Output”).

AI Output is experimental and will sometimes be wrong. It may be inaccurate, incomplete, outdated, biased, or misleading, and it may appear confident and cite a source while still being wrong. A citation does not guarantee that the output correctly reflects the cited material. Athens does not warrant the accuracy of AI Output.

You must exercise your own judgment, check the underlying course sources, and independently verify anything important. AI Output is not a substitute for instruction from an Instructor, official Institution policy, or professional medical, legal, or financial advice.

Athens does not authorize AI features to publish materials, change course policy, submit work, grade a Student, or take other consequential action without confirmation by a User and server-side authorization. Instructors remain responsible for course policy, released materials, assessment, and grading. Students remain responsible for work they submit and for academic integrity.

9. Athens materials

Athens and its licensors own the Service, including its software, design, interfaces, documentation, and branding, excluding Your Content. Subject to these Terms, Athens grants you a limited, personal, non-exclusive, non-transferable, revocable right to use the Service for authorized educational purposes during the pilot.

10. Third-party services

The Service relies on third-party providers, including cloud infrastructure and AI model providers, and may interoperate with identity or learning-management services where enabled. Those providers have their own terms and privacy practices, and Athens is not responsible for their independent services. The existence of an integration or adapter in the Service does not mean it is enabled or approved for your course.

11. Suspension, termination, and end of the pilot

You may stop using the Service at any time and may ask Athens to delete your account by contacting admin@athenslabs.ai, which Athens handles as described in Section 11 of the Privacy Notice.

Athens may suspend or terminate access if you violate these Terms, if your use presents a security or legal risk, if an Instructor's authority to provide information is disputed, or if the pilot or your course ends.

If the pilot ends or your access is terminated, your right to use the Service ends. Athens will make reasonable efforts to give notice before deleting Your Content, and you may request a copy under Section 11 of the Privacy Notice, which is handled through the tools available in the Service together with manual processes and is subject to verification and to technical and legal limits. Athens does not currently operate a complete self-service export workflow and does not promise that you will be able to retrieve all of Your Content. Keep your own copies. Sections that by their nature survive will survive, including those concerning content and rights, disclaimers, liability, indemnification, and governing law.

12. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND AI OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS. ATHENS DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT.

ATHENS DOES NOT WARRANT THAT THE SERVICE OR AI OUTPUT WILL BE ACCURATE, COMPLETE, SECURE, UNINTERRUPTED, ERROR-FREE, OR SUITABLE FOR ANY ACADEMIC OR OTHER DECISION. NOTHING IN THESE TERMS EXCLUDES A WARRANTY OR RIGHT THAT CANNOT LAWFULLY BE EXCLUDED.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ATHENS AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF ATHENS AND THE OTHER ATHENS PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID ATHENS FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US$100.

These limits do not apply to liability that cannot lawfully be limited.

14. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless Athens and its directors, officers, employees, and affiliates from third-party claims, damages, losses, and reasonable costs arising from:

• your unlawful use of the Service or your material violation of these Terms;
• content you upload without the rights or permissions required by Section 4.2; or
• your provision of another person's information without the authority required by Section 4.1.

This section does not apply to a Student acting as an ordinary participant in a course, and does not require any indemnity that applicable law prohibits or that an Institution has not agreed to in an Institution Agreement. Nothing here requires an Institution or its personnel to indemnify Athens absent such an agreement.

15. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Except where applicable law requires otherwise, disputes arising out of or relating to these Terms or the Service must be brought exclusively in the state or federal courts located in Delaware, and each party consents to their jurisdiction and venue.

These Terms contain no mandatory arbitration clause and no class-action waiver.

16. Changes to these Terms

Athens may update these Terms as the pilot or the law changes. When a change is material, Athens will provide notice through the Service, by email, or by another reasonable channel before the updated Terms take effect where practicable. The date at the top shows when these Terms were last updated. If you do not agree to updated Terms, stop using the Service.

17. General

Neither party is liable for delay or failure caused by events beyond its reasonable control. You may not assign these Terms without Athens' consent. Athens may assign them in connection with a merger, acquisition, reorganization, or sale of assets. Failure to enforce a provision is not a waiver. If a provision is unenforceable, it will be modified to the minimum extent necessary and the rest will remain in effect. Headings are for convenience only.

These Terms, the Privacy Notice, and any applicable Institution Agreement are the entire agreement concerning your use of the Service. The Security Statement is informational and is not part of that agreement.
